XMAQUINA DAO operates through specialized SubDAOs and committees that enable focused execution while preserving decentralized governance. Governance authority resides with DEUS token holders. SubDAOs operate under mandates approved by governance and remain accountable to the DAO.

What Is a SubDAO?

A SubDAO is a mandate-driven operational unit composed of up to 6 contributors responsible for leading a defined initiative or strategic activity. SubDAOs function as structured project teams within the DAO and operate within clearly defined governance boundaries. Each SubDAO: • Operates under a governance-approved mandate • May receive a defined budget approved by DAO governance • May utilize a dedicated multisig wallet for operational execution • Reports transparently to the DAO • Remains subject to oversight, modification, or dissolution by governance All capital allocations, treasury movements, or funding authorizations must be approved by the main DAO through its governance framework. SubDAOs do not have independent authority to deploy treasury capital beyond what has been explicitly approved. SubDAOs execute. Governance decides.

Active SubDAOs

Northstar Council

The Northstar Council is a strategic SubDAO responsible for guiding long-term direction and coordinating high-priority initiatives. It is currently composed of founding members and core contributors with deep familiarity across the DAO’s mission and ecosystem. The Council operates under authority delegated by DAO governance and acts within clearly defined mandates. Its responsibilities include: • Submitting strategic proposals • Coordinating time-sensitive initiatives • Supporting ecosystem growth • Operating within the approved governance framework The Northstar Council does not override DAO members. All capital deployment and mandate changes remain subject to governance approval.

DEUS Labs

DEUS Labs is a SubDAO responsible for leading the DAO’s innovation and incubation initiatives at the intersection of robotics and Web3. As a mandate-driven unit, it: • Leads internal venture incubation efforts • Coordinates builders and technical contributors • Advances selected initiatives toward MVP and market readiness • Supports ecosystem expansion aligned with the DAO mission DEUS Labs operates under a governance-approved mandate. Advisory & Operational Units

Scoring Committee

The Scoring Committee is an advisory body composed of experienced builders, investors, and industry leaders across robotics, AI, and Web3. It supports the DAO by: • Evaluating allocation proposals • Conducting structured due diligence • Drafting evaluation memos • Providing strategic recommendations The Scoring Committee does not control capital. Its role is advisory. All funding decisions remain subject to DAO governance approval. Execution Engine

The Execution Engine implements governance-approved decisions. Its responsibilities include: • Deal sourcing and structuring • Legal and compliance coordination • Treasury execution • Governance process support • Communications and operational coordination The Execution Engine executes decisions but does not determine them. Over time, responsibilities may decentralize further as the DAO matures.
